General Requirements for Incorporation of a HK Company

Company Registration Procedures - Tailor-made Company

Step Description
ˇ@ ˇ@
 1.   Client shall provide us with at least two to three proposed company
ˇ@   names, which can be in English or Chinese only or both. After that,
ˇ@   we will check the availability of the proposed name whether it can
ˇ@   be registered in the Companies Registry. Meanwhile, client shall
ˇ@   complete the application form of HK Company Registration.
ˇ@  
ˇ@ ˇ@
 2.   Client shall pay the service fee by cash, cheque or
ˇ@   bank transfer to our bank account (HSBC #817-037716-001) or 
ˇ@   (BOC#012-67700023025). Cheques should be crossed and made
ˇ@   payable to ˇ§Raleigh Consultant Limitedˇ¨.
ˇ@ ˇ@
 3.   After confirmation of the availability of the proposed name, we will
  then prepare the following incorporation documents:

 (1) Memorandum and Articles of Association

 (2) Incorporation Form

 (3) Any other documents if appropriate
ˇ@ ˇ@
 4.   We can arrange to deliver the incorporation documents listed in
ˇ@   Step 3 to clients for signature by courier. Moreover, clients shall
ˇ@   also come to our offices to sign the incorporation documents.
ˇ@   They must then be returned to us for filing.
ˇ@ ˇ@
 5.   With all documents signed, we will then file the Memorandum and
ˇ@   Articles of Association of the intended company and Declaration
ˇ@   of Compliance with the Companies Registry together with the
ˇ@   appropriate fees for the application of Certificate of Incorporation.
ˇ@ ˇ@
 6.   About 6 working days later, we will go to the Companies Registry to
ˇ@   collect the Certificate of Incorporation (CI) and Business 
ˇ@   Registration Certification (BR).
ˇ@ ˇ@
 7.   Having collected the Certificate of Incorporation (CI) and
ˇ@   Business Registration Certification (BR), we will thenproceed to 
ˇ@   do the following things:
ˇ@ ˇ@
ˇ@   (1) Printing of Memorandum and Articles of Association
ˇ@ ˇ@
ˇ@   (2) Making a company seal
ˇ@ ˇ@
ˇ@   (3) Making a round chop and an authorized signature chop
ˇ@ ˇ@
ˇ@   (4) Making a statutory book
ˇ@ ˇ@
ˇ@   (5) Issuing shares to share subscribers
ˇ@ ˇ@
 8.   Once the whole incorporation process is completed, we will then
ˇ@   deliver all documents evidencing the legal existence of the Company
ˇ@   to you by courier. Moreover, clients shall also come to our offices to
ˇ@   collect the incorporation documents.

 9.   Client can go to open a bank account with provided minutes and
ˇ@   Certified True Copies of all relevant documents.
